Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you") and Red Point Ascent Group, LLC ("Company," "we," "us"), a limited liability company, governing your access to and use of the Meridian Edge platform, including the website at meridianedge.ai, the web application at app.meridianedge.ai, APIs, and all related services (collectively, the "Service").

By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

2. Eligibility

You must be at least 18 years of age and legally capable of entering into binding contracts in your jurisdiction. You are solely responsible for ensuring that your use of the Service complies with all applicable laws and regulations in your jurisdiction, including but not limited to laws governing prediction markets, event contracts, and digital assets.

Prediction market platforms such as Polymarket and Kalshi may have their own geographic restrictions, regulatory requirements, and eligibility criteria. It is your responsibility to comply with those platforms' terms independently.

3. Description of Service

Meridian Edge is an autonomous AI-powered trading software platform that enables users to deploy configurable trading bots ("bots") on prediction markets. The Service includes:

• AI-driven signal generation, probability assessment, and trade execution
• Paper trading (simulated) and live trading modes
• A composable skill framework for building custom trading strategies
• Risk management tools including position sizing and drawdown protection
• A web-based dashboard for bot management, monitoring, and configuration
• Integration with third-party marketplaces (Polymarket, Kalshi) via user-provided API keys

Meridian Edge is a software tool. We are not a broker-dealer, exchange, market maker, custodian, or financial institution. We do not hold, custody, or have access to your funds. All trades execute on your own marketplace accounts using your own API credentials.

4. Not Investment Advice

THE SERVICE IS NOT INVESTMENT ADVICE. RED POINT ASCENT GROUP, LLC IS NOT A REGISTERED INVESTMENT ADVISOR, BROKER-DEALER, OR FINANCIAL PLANNER. NOTHING PROVIDED THROUGH THE SERVICE CONSTITUTES A RECOMMENDATION, SOLICITATION, OR OFFER TO BUY OR SELL ANY SECURITY, EVENT CONTRACT, OR FINANCIAL INSTRUMENT.

AI-generated probability assessments, signals, and trade recommendations are computational outputs based on statistical models and publicly available data. They are not predictions of actual outcomes and should not be relied upon as the sole basis for any trading decision. You should consult with qualified financial, legal, and tax professionals before making investment decisions.

5. Algorithmic and Autonomous Trading Risks

You acknowledge and accept the following risks inherent in automated trading systems:

• AI and model risk: AI agents operate autonomously within your configured parameters. Models may contain design errors, produce incorrect probability assessments, or behave unexpectedly in novel market conditions.
• Execution risk: Orders may be errant, missing, duplicated, or executed at unexpected prices due to latency, connectivity issues, API failures, or marketplace outages.
• Speed of loss: Algorithmic trading losses can occur faster than in manual trading, particularly with autonomous agents that execute without human intervention.
• Paper vs. live divergence: Paper trading results do not predict live trading performance. Simulated results do not account for real-world slippage, liquidity constraints, or marketplace-specific execution characteristics.
• Third-party platform risk: Prediction market platforms may experience outages, settlement disputes, smart contract failures, regulatory changes, or liquidity crises that are beyond our control.
• Event contract resolution risk: Prediction markets resolve based on real-world events. Resolution disputes are handled by the marketplace, not by Meridian Edge.

PAST PERFORMANCE, WHETHER SIMULATED OR ACTUAL, IS NOT A GUARANTEE OF FUTURE RESULTS. YOU MAY LOSE SOME OR ALL OF YOUR INVESTED CAPITAL. ONLY TRADE WITH FUNDS YOU CAN AFFORD TO LOSE.

6. User Accounts and Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must immediately notify us of any unauthorized use.

When you connect third-party marketplace API keys (e.g., Polymarket, Kalshi), you grant the Service permission to execute trades on your behalf within the parameters you configure. You understand that:

• API keys are encrypted at rest but you accept residual security risk
• Connected keys grant the platform trading authority on your marketplace accounts
• You are solely responsible for monitoring your positions and account balances
• You may revoke API key access at any time through the dashboard or directly on the marketplace

7. No Custody of Funds

Meridian Edge never holds, custodies, or has direct access to your funds. All financial transactions occur on third-party marketplace platforms (Polymarket, Kalshi) through your own accounts. We are a software intermediary that facilitates trade execution via API integration. Your relationship with each marketplace is governed by that marketplace's own terms of service.

8. Subscription and Billing

Paid subscription plans are billed through Stripe on a recurring basis. By subscribing, you authorize us to charge your payment method at the applicable rate for your selected plan. Subscriptions automatically renew unless canceled before the end of the current billing period.

• Plan downgrades take effect at the end of the current billing period
• If your subscription lapses, your account reverts to the free tier and running bots beyond the free tier limit may be paused
• Refunds are handled on a case-by-case basis at our discretion

9. Acceptable Use

You agree not to:

• Use the Service for market manipulation, wash trading, or any illegal activity
• Circumvent or disable risk management controls, position limits, or safety mechanisms
• Reverse engineer, decompile, or create derivative works of the Service
• Use the Service to develop a competing product
• Interfere with or disrupt the Service or its infrastructure
• Violate any applicable law, regulation, or the terms of any connected marketplace
• Share your account credentials or API access with unauthorized parties

10. Intellectual Property

All intellectual property in the Service — including AI models, algorithms, the skill framework, software, designs, and documentation — is owned by Red Point Ascent Group, LLC or its licensors. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service during your subscription term.

Bot configurations you create are your property, but you grant us a license to use aggregated, anonymized performance data to improve the Service.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RED POINT ASCENT GROUP, LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, TRADING LOSSES, LOSS OF DATA, OR LOSS OF GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING FROM YOUR USE OF THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) ONE HUNDRED DOLLARS ($100) OR (B) THE TOTAL FEES PAID BY YOU TO US DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

12. Indemnification

You agree to indemnify, defend, and hold harmless Red Point Ascent Group, LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from your use of the Service, your violation of these Terms, your trading activities, or your infringement of any third party's rights.

13. Third-Party Services

The Service integrates with third-party platforms including Polymarket, Kalshi, Stripe, Discord, and others. We are not responsible for the availability, accuracy, or conduct of any third-party service. Your use of third-party services is governed by their respective terms and privacy policies.

14. Dispute Resolution

Any dispute arising from these Terms or your use of the Service shall be resolved through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. Arbitration shall take place in the state of incorporation of Red Point Ascent Group, LLC.

Class action waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

Jury trial waiver: You waive your right to a jury trial for any claims covered by these Terms.

15. Termination

We reserve the right to suspend or terminate your account at any time, with or without notice or cause. Upon termination, your right to use the Service ceases immediately. Sections relating to intellectual property, limitation of liability, indemnification, and dispute resolution survive termination.

You may delete your account at any time through the dashboard. Upon deletion, we will remove your marketplace API keys and personal data in accordance with our Privacy Policy, subject to legal retention obligations.

16. Modifications to Terms

We may update these Terms at any time. Material changes will be communicated via email or a prominent notice on the Service at least 30 days before taking effect. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles.
